Partnership Policy & Support

Comprehensive policies and support structure designed to ensure mutual success and long-term partnership growth.

1. Territory & Exclusivity Rights

OH-Feel grants each distributor exclusive distribution rights within their designated territory. The territory scope is determined by the partnership tier:

Silver Partner: City or District level exclusivity

Gold Partner: Province or State level exclusivity

Platinum Partner: Country or Regional level exclusivity

OH-Feel commits not to appoint competing distributors within the exclusive territory during the partnership term. Distributors must actively develop their market to maintain exclusivity rights.

2. Pricing & Profit Margins

OH-Feel provides competitive wholesale pricing with attractive profit margins:

Silver Partner: 30% profit margin on wholesale purchases

Gold Partner: 35% profit margin on wholesale purchases

Platinum Partner: 40-50% profit margin based on volume

Pricing is subject to annual review and may be adjusted based on market conditions and volume commitments. Volume incentives are available for partners exceeding sales targets.

3. Minimum Orders & Sales Commitments

Each partnership tier has minimum order requirements and annual sales targets:

Silver Partner: Minimum $5,000 initial order, $20,000 annual target

Gold Partner: Minimum $25,000 initial order, $100,000 annual target

Platinum Partner: Minimum $100,000 initial order, $500,000 annual target

Partners failing to meet annual sales targets for two consecutive years may be subject to territory review or partnership termination.

4. Marketing Support & Materials

OH-Feel provides comprehensive marketing support to all partners:

  • Pre-designed marketing materials (brochures, flyers, digital assets)
  • Product catalogs and technical documentation in local languages
  • Social media content and email marketing templates
  • Trade show and event support
  • Co-marketing opportunities and joint campaigns
  • Digital marketing resources and guidance

Platinum partners receive dedicated marketing support and co-investment in major campaigns.

5. Training & Technical Support

OH-Feel provides comprehensive training programs:

Product Training

Technical specifications, features, applications, and troubleshooting

Sales Training

Sales techniques, customer objection handling, and closing strategies

Technical Support

24/7 technical support for product issues and customer support

Business Support

Operational guidance, inventory management, and business optimization

6. Payment Terms & Conditions

OH-Feel offers flexible payment terms for qualified distributors:

  • Net 30 payment terms for established partners with good payment history
  • Prepayment required for new partners until credit is established
  • Wire transfer, credit card, and other payment methods accepted
  • Volume discounts available for large orders
  • Early payment incentives (2% discount for payment within 10 days)

7. Shipping & Logistics

Shipping arrangements are as follows:

  • FOB (Free on Board) from OH-Feel warehouse
  • Distributor responsible for shipping costs and logistics
  • Option for direct shipment to end customers (drop-shipping available)
  • Bulk orders eligible for consolidated shipping discounts
  • Warranty and return shipping covered by OH-Feel

8. Returns, Warranty & After-Sales Service

Warranty: All OH-Feel products come with a 2-year manufacturer warranty covering defects and malfunctions.

Return Policy: Defective products can be returned within 30 days of purchase for replacement or refund.

After-Sales Service: Distributors are responsible for providing customer support and warranty service. OH-Feel provides technical support and replacement parts.

Customer Satisfaction: Partners must maintain high customer satisfaction standards and handle complaints promptly and professionally.

9. Intellectual Property & Branding

OH-Feel retains all intellectual property rights including trademarks, patents, and proprietary technology.

  • Distributors may use OH-Feel brand name and logo for marketing purposes
  • All marketing materials must be approved by OH-Feel
  • Distributors cannot modify or alter OH-Feel products
  • Distributors cannot use OH-Feel branding for unauthorized purposes

10. Confidentiality & Non-Disclosure

Both parties agree to maintain confidentiality of proprietary information, including:

  • Pricing and cost information
  • Technical specifications and manufacturing processes
  • Customer lists and market data
  • Business strategies and future plans

Confidentiality obligations continue for 2 years after partnership termination.

11. Partnership Term & Termination

Initial Term: Partnership agreements are typically for 2 years with automatic renewal unless terminated.

Termination for Cause: Either party may terminate immediately if:

  • Partner fails to meet minimum sales targets for 2 consecutive years
  • Partner violates intellectual property rights or branding guidelines
  • Partner engages in unethical business practices
  • Partner breaches confidentiality obligations

Termination for Convenience: Either party may terminate with 90 days written notice.

12. Dispute Resolution

Any disputes arising from this partnership shall be resolved through:

  1. Good faith negotiation between parties
  2. Mediation by a neutral third party
  3. Binding arbitration according to international standards
